What Is Our Client Looking For?
Our client is looking for a Senior Associate to join its Banking & Finance practice in Calgary. This opportunity is ideal for a lawyer who enjoys working on sophisticated transactions, developing strong client relationships, and taking on a meaningful role within a highly respected practice.
Tasks & Responsibilities
- Advise lenders, borrowers, private equity sponsors, and corporate clients on a broad range of financing transactions.
- Draft, review, and negotiate credit agreements, security documents, intercreditor agreements, and related transaction documentation.
- Support acquisition financings, syndicated lending transactions, leveraged buyouts, and corporate credit facilities.
- Conduct legal due diligence and assist with transaction structuring and execution.
- Work directly with clients, financial institutions, and opposing counsel throughout all stages of a transaction.
- Provide strategic advice on secured lending, commercial finance, and debt restructuring matters.
- Manage transaction closings and coordinate with various stakeholders to ensure successful execution.
- Mentor junior associates and contribute to the continued growth of the practice group.
- Participate in business development initiatives and client relationship management activities.
- Stay current on legal and regulatory developments affecting banking and finance transactions.
Skills & Qualifications
- Juris Doctor (JD) degree and member in good standing with the Law Society of Alberta.
- 4 years of post-call experience practicing banking and finance law at a Canadian law firm.
- Strong experience advising on secured lending, acquisition financings, syndicated lending transactions, and corporate finance matters.
- Proven ability to manage sophisticated transactions with a high degree of autonomy.
- Excellent drafting, negotiation, and legal analysis skills.
- Strong commercial awareness and practical approach to problem solving.
- Experience working with financial institutions, private equity sponsors, and corporate borrowers.
- Ability to build and maintain strong client relationships.
- Strong organizational skills and ability to manage multiple files simultaneously.
