What Is Our Client Looking For?
The firm is looking to add a seasoned legal professional who can serve as a trusted advisor across both transactional and day-to-day business matters. Working closely with investment professionals and senior leadership, this individual will play an integral role in supporting acquisitions, portfolio company initiatives, and the firm's continued growth.
Tasks & Responsibilities
- Provide legal support across acquisitions, divestitures, recapitalizations, and other investment transactions.
- Draft, review, and negotiate purchase agreements, financing documents, confidentiality agreements, and other commercial contracts.
- Partner closely with investment professionals throughout the deal lifecycle, from due diligence through closing and post-transaction integration.
- Advise portfolio companies on corporate governance, commercial matters, employment matters, and general business operations.
- Identify and assess legal risks associated with prospective investments and strategic initiatives.
- Manage relationships with external counsel and coordinate legal workstreams across multiple transactions and projects.
- Support the structuring and execution of complex transactions while ensuring compliance with applicable laws and regulations.
- Assist with fund-related legal matters, corporate governance requirements, and organizational documentation.
- Provide practical legal guidance to senior leadership on a wide range of business and operational matters.
- Monitor legal and regulatory developments that may impact the firm or its portfolio companies.
- Support dispute resolution, litigation management, and other special legal projects as required.
- Contribute to the development of internal policies, procedures, and legal best practices.
Skills & Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with a U.S. state bar.
- 5+ years of legal experience with significant exposure to private equity, mergers and acquisitions, corporate law, or investment management.
- Experience gained within a leading law firm, private equity firm, investment manager, or similar transactional environment.
- Strong understanding of private equity transactions, corporate governance, and commercial contracting.
- Demonstrated experience supporting acquisitions, dispositions, financing transactions, and portfolio company matters.
- Excellent drafting, negotiation, and contract review capabilities.
- Ability to balance legal risk with practical business objectives and commercial considerations.
- Strong judgment and the ability to operate independently in a fast-paced environment.
